1. Acceptance of Terms
By accessing oshere.digital or engaging Oshere for analytics services, you agree to these General Terms. If you act on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree, discontinue use of the site and services.
2. Services Description
Oshere provides trade marketing analytics, dashboards, reporting, and related professional services as described in statements of work or service descriptions on this site. Deliverables, timelines, and fees are defined per engagement. Informational prices on the site are not offers capable of acceptance without a signed agreement.
3. Client Responsibilities
You will provide timely data files, access credentials where applicable, and designated approvers for metrics definitions. Delays in data delivery may shift publication dates. You are responsible for the accuracy of data you supply and for obtaining rights to share retailer and distributor information with Oshere.
4. Intellectual Property
Oshere retains ownership of methodologies, templates, and pre-existing tools. Upon full payment, you receive a license to use deliverables created specifically for your engagement as defined in your contract. Oshere may use aggregated, de-identified insights to improve its services unless otherwise agreed in writing.
5. Confidentiality
Each party will protect the other's confidential information with reasonable care and use it only to perform under the agreement. Confidential information excludes data that is public, independently developed, or rightfully received from a third party without restriction.
6. Limitation of Liability
To the fullest extent permitted under the laws of the Republic of Korea, Oshere's aggregate liability arising from any engagement shall not exceed the fees paid for that engagement in the twelve months preceding the claim. Oshere is not liable for indirect, consequential, or lost-profit damages. Analytics outputs depend on data you provide; Oshere does not warrant specific commercial outcomes.
7. Governing Law and Disputes
These terms are governed by the laws of the Republic of Korea, without regard to conflict-of-law rules. Parties will attempt good-faith negotiation before litigation. Exclusive jurisdiction lies with the courts competent for Namyangju-si, Gyeonggi-do, unless mandatory consumer protections specify otherwise.
8. Termination and Modifications
Either party may terminate an engagement per the underlying contract. Oshere may update these General Terms by posting a revised version with a new last-updated date. Continued use after changes constitutes acceptance. Material service changes to active engagements require mutual written agreement.
